Soho Square Capital LLP (“Soho Square”), an investment firm focused on financing established and growing UK and European SMEs, is pleased to announce that its portfolio company Arcus Facilities Management (“Arcus FM” or “the Company”) has completed the acquisition of the Trios Group, further adding to Arcus’ mobile engineering, technology, and project delivery strength in the UK market. The acquisition of Trios Group takes Arcus FM a step closer to realising its ambition to be the largest provider of mobile facilities management services in the UK.
Formed in 2009, Arcus FM is a leading UK based facilities management company providing bespoke FM services and technology-led solutions for its clients in the retail, logistics and corporate office clients. Soho Square invested in Arcus FM in 2020 through the financing of a management buyout, which also saw Soho Square take a significant minority equity stake in the business and David Steel, Director at Soho Square, join the Board of the Company. The investment has enabled the Arcus FM management team to accelerate its ambitious expansion plans, supported by Soho Square’s expertise in working with fast-growing businesses.
Trios employs over 200 people and has strong alignment with Arcus FM’s ‘technology led, people driven’ approach. It has dedicated mobile engineering services; its own in-house technology platform and a dedicated Managed Services function to support customers of all sizes manage their estate; as well as a dedicated Projects team. Adding these complementary pieces to Arcus’ core operations made Trios an attractive acquisition, alongside a strong portfolio of customers (including Ladbrokes, Royal Mail, Vue Cinema, Harrods, Linnaeus Vets, Rowlands Pharmacy, West Midlands Police, and the Police and Crime Commissioner for West Midlands) which enhance Arcus’ foothold in retail and hospitality, as well as opening up new opportunities in the logistics, ‘blue light’, and local government sectors.
David Steel, Director at Soho Square, commented:
“This is a great milestone for Arcus on its impressive growth trajectory and we are delighted to be a partner on their journey, supporting the highly capable management team in its considerable achievements.”
Chris Green, Chief Executive Officer at Arcus FM, added:
“Arcus has been on a tremendous growth journey for the past few years – growing with existing customers and adding a stellar crop of new customers in a variety of sectors. It’s great to build on this further, working alongside our partners at Soho Square, and see another key part of our strategy accomplished with a complementary acquisition. The mobile capability of Trios, its use of technology, and the way it serves its customers made it attractive as we look to add scale and bolster our service offering – and we’re looking forward to working with the team there to see how we can collaborate and integrate to drive outstanding facilities management across the country.”
Soho Square and Arcus were advised by Grant Thornton (Usman Malik on buy side corporate finance, Carl Parker on financial due diligence and Lucy Orhnial on tax) and K&L Gates (James Cross for legal). Satvir Bungar of BDO identified Arcus as an ideal acquiror of Trios.
